1. Advising Startup Businesses. We work with startup businesses, representing the founders in all aspects of formation, including choice of entity, tax analysis, capitalization, financing, intellectual property protection, employee hiring, voting, equity allocation and contracts.
2. Counseling Business Partnerships. We represent business partnerships in preparing for the so-called "Seven D's" of a business partnership.
3. Serving as General Counsel to Closely Held Businesses. We serve as legal counsel to a wide range of closely held businesses, serving as general counsel on matters such as tax, contracts, employment and partnership matters.
4. Undertaking Specialized Projects for In-House Counsel at Larger Companies. We assist public and private company legal departments by representing them as outside counsel on contract, commercial real estate and various other matters.
5. Providing Mergers & Acquisitions Advice. We counsel business owners who want practical legal advice as they prepare their business for sale, and we represent them in the business sale. We also counsel companies who wish to acquire other businesses.
6. Negotiating & Closing Commercial Lending and Commercial Real Estate Transactions. We represent commercial banks and financial institutions in connection with commercial real estate lending transactions. We represent commercial developers in the acquisition, sale, leasing and financing of commercial real estate projects.
